Terms of Service

1. Acceptance of Terms

By downloading, installing, or using PersonaLLM ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms constitute a legally binding agreement between you and Koya Ventures Ltd, a company registered in England and Wales, trading as PersonaLLM ("we", "us", "our"). We may update these Terms from time to time. We will notify you of material changes by updating the "Last Updated" date above and posting the revised Terms on our website. Your continued use of the App after changes take effect constitutes acceptance of the revised Terms.

2. Eligibility

You must be at least 18 years old to use PersonaLLM. By using the App, you represent and warrant that you are at least 18 years of age.

If we learn or have reason to believe that a user is under 18, we will promptly terminate their access and delete any associated data, including community uploads.

3. Description of Service

PersonaLLM is an iOS application that allows users to create AI characters and engage in text-based roleplay conversations. The App includes:

• AI-generated text responses powered by cloud-based language models
• AI-generated images and videos created from conversation context
• On-device text-to-speech for character voices
• On-device speech-to-text for voice input (processed entirely on your device)
• On-device character memory powered by AI (Retrieval-Augmented Generation)
• Optional on-device AI models that can be downloaded for local text generation
• A community platform for browsing, sharing, and downloading user-created characters
• Conversation branching to explore different narrative paths
• An optional monthly subscription (PersonaLLM Premium) for enhanced AI text quality, smarter character memory, and free character generation
• Data export to download all your locally stored data in a portable format

Certain on-device features require downloading AI models to your device, which may be several gigabytes in size. These downloads use your internet connection and device storage. Models are downloaded from Apple and third-party model repositories. No personal data is sent during model downloads.

Features may change over time as we improve the App. We reserve the right to modify, suspend, or discontinue any feature with reasonable notice.

4. AI-Generated Content

PersonaLLM uses artificial intelligence to generate text, images, and videos. AI-generated content is provided "as is" without any warranties, express or implied. You acknowledge and agree that:

• AI outputs may be inaccurate, incomplete, biased, or inappropriate
• AI-generated content does not represent the views or opinions of PersonaLLM
• PersonaLLM does not review, endorse, or guarantee any AI-generated content
• AI-generated images and videos are entirely synthetic and do not depict real persons or events
• You are solely responsible for all content generated through your use of the App, regardless of whether it is produced via our cloud services, on-device models, or custom API providers, and for how you use, share, or rely on such content

PersonaLLM is not liable for any damages arising from AI-generated content, including but not limited to emotional distress, reputational harm, or reliance on inaccurate information.

5. User Conduct & Prohibited Uses

You agree not to use PersonaLLM to:

• Generate, solicit, or distribute child sexual abuse material (CSAM) or any content that sexualises minors
• Create non-consensual intimate imagery of real persons (including deepfakes)
• Generate content that promotes terrorism, violence, or self-harm
• Harass, threaten, defame, or impersonate real individuals
• Attempt to circumvent content filters, safety measures, or usage limits
• Use the App for any purpose that is illegal under applicable law, including but not limited to the laws of England and Wales and the UK Online Safety Act 2023
• Reverse-engineer, decompile, disassemble, or attempt to extract the source code, models, or algorithms of the App
• Use automated tools (bots, scrapers) to access the App or its services

We reserve the right to suspend or terminate your access for any violation of these Terms, with or without prior notice.

On-Device & Custom API Provider Usage. Content generated using on-device AI models or through your own custom API providers is not monitored, filtered, or moderated by PersonaLLM. You assume full and sole responsibility for all content generated through these means, including compliance with applicable laws. The prohibited uses listed above apply to all use of the App regardless of whether content is generated via our cloud services, on-device models, or custom API providers.

6. User Content & Licence

Your Content. You retain ownership of content you create within the App, including character definitions, conversation inputs, uploaded documents, and lore entries. Content stored on your device remains under your control.

Community Licence. By uploading content to the PersonaLLM Community Platform, you grant PersonaLLM a worldwide, non-exclusive, royalty-free licence to host, display, distribute, and promote that content in connection with the service. You may remove your community uploads at any time, which will terminate this licence going forward. However, copies already downloaded by other users prior to removal cannot be recalled.

Representations. You represent and warrant that you have the right to share any content you upload, and that it does not infringe on any third party's intellectual property, privacy, or other rights.

7. Intellectual Property

The PersonaLLM app, including its design, code, branding, and documentation, is the property of PersonaLLM and is protected by intellectual property laws.

AI-generated outputs (text, images, videos) produced through the App are not owned by PersonaLLM. Under current law, purely AI-generated content may not be eligible for copyright protection. You are free to use AI-generated content from your conversations, but you do so at your own risk and without any guarantee of exclusivity or intellectual property rights.

8. Third-Party Services

PersonaLLM integrates with third-party services to provide its features. When you use cloud-based features, your data is transmitted to these providers through our secure proxy server:

• OpenRouter: Receives your conversation messages (user and AI text) for generating AI responses via multiple AI model providers (including but not limited to DeepSeek, Anthropic Claude, and xAI Grok). Also receives conversation context for image and video prompt processing.
• Atlas Cloud: Receives processed text prompts (not raw conversation data) for AI image and video generation.
• Alibaba Cloud: Receives processed text prompts (not raw conversation data) for AI image and video generation.
• RunPod: Receives processed text prompts (not raw conversation data) for AI image and video generation.
• Cloudflare: Hosts our proxy server and community platform infrastructure. Generated images are temporarily stored on Cloudflare for up to 24 hours to allow your device to retrieve them, after which they are automatically and permanently deleted.

We may update the specific AI providers we use from time to time to improve quality or availability. The categories of data shared and the purposes for sharing remain the same. Material changes to providers will be reflected in our Privacy Policy.

On-device features — including character memory (RAG), text-to-speech, speech-to-text, and local AI models — do not transmit any data to third parties.

Custom API Providers. The App allows you to configure your own API keys to connect directly to third-party AI services of your choosing. When you use custom API providers, your data is transmitted directly to those services under your own account and their terms of service — it does not pass through our proxy server. We have no visibility into, control over, or responsibility for how third-party services handle data transmitted via your own API keys. You are solely responsible for compliance with those providers' terms and any applicable data protection obligations.

Each third-party provider has its own privacy policy and terms governing how it processes data. We do not control how third-party providers handle data once received. For more detail, see our Privacy Policy.

9. Subscriptions & In-App Purchases

9a. PersonaLLM Premium Subscription

PersonaLLM offers an optional auto-renewable subscription called "PersonaLLM Premium" that provides:

• Unlimited premium AI text conversations (higher-quality model, expanded context)
• Cloud-powered lore extraction (smarter character memory)
• Free AI character generation (no credits required)

Price: £7.99 per month (or regional equivalent as displayed in the App Store at the time of purchase).

Auto-Renewal: Your subscription automatically renews each month unless you cancel at least 24 hours before the end of the current billing period. Your Apple ID account will be charged for renewal within 24 hours prior to the end of each billing period, at the same price. You can manage and cancel your subscription at any time through your device's Settings → [Your Name] → Subscriptions, or through the App Store.

Billing Grace Period: If Apple is unable to charge your payment method at renewal, Apple may provide a grace period of up to 3 days during which your subscription benefits continue while Apple retries the charge. If payment is not collected by the end of the grace period, your subscription will expire and you will revert to the free tier.

Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period — you will continue to have access to Premium features until that date. No partial refunds are provided for the remaining days in a billing period. After expiry, you revert to the free tier, and your credits remain available for image and video generation.

Refunds: All subscription payments are processed by Apple. To request a refund, visit reportaproblem.apple.com or contact Apple Support. PersonaLLM does not process payments directly and cannot issue refunds. Your statutory rights under the UK Consumer Rights Act 2015 are not affected.

No Free Trial: There is currently no free trial period for PersonaLLM Premium.

Price Changes: We may change subscription pricing with reasonable notice. Apple will notify you of any price increase and require your consent before charging the new price, in accordance with App Store policy.

Family Sharing: PersonaLLM Premium does not support Family Sharing. Each user must purchase their own subscription.

9b. Credit Packs

PersonaLLM offers in-app credit packs for image and video generation. All purchases are processed through Apple's App Store and are subject to Apple's terms and conditions.

• You may receive a limited number of complimentary starter credits when you first use the App. The number of starter credits is subject to change at our discretion
• Credits are non-transferable and have no cash value
• Credits are consumed when you use cloud AI features (image generation, video generation, and character generation for non-subscribers)
• Unused credits do not expire
• Your credit balance is maintained on our server and is associated with your device. If you uninstall and reinstall the App without first linking your account via Sign in with Apple, your credit balance may become inaccessible
• Sign in with Apple allows you to link your credit balance to your Apple account, enabling you to restore and transfer your credits across devices or after reinstallation
• Refunds for credit packs are handled by Apple in accordance with their refund policy and applicable consumer protection law
• We reserve the right to modify credit pack pricing and the credit cost of features at our discretion with reasonable notice

9c. Credit Costs

The following credit costs apply at the time of publication. We reserve the right to change these with reasonable notice:

• Premium text messages: 0 credits (included with PersonaLLM Premium subscription); not available for purchase with credits — free-tier users have unlimited access to the standard model at no credit cost
• Character generation: Free for Premium subscribers; 10 credits for free-tier users
• Image generation: 10 credits per image
• Video generation: 30–135 credits per video (varies by duration and quality)

Under the UK Consumer Rights Act 2015, you have certain statutory rights regarding digital content purchases that are not affected by these Terms.

10. Content Moderation & Reporting

PersonaLLM employs content filtering on both text and image generation to prevent the creation of prohibited content. These filters are not infallible.

If you encounter content on the Community Platform that violates these Terms or applicable law, you can report it through the in-app reporting feature or by contacting us at the address below. We will review reports promptly and take appropriate action, which may include removing content and suspending accounts.

We reserve the right — but have no obligation — to monitor, review, or remove any user-generated content at our sole discretion.

11. Privacy

Your use of PersonaLLM is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the App, you consent to the practices described in the Privacy Policy.

12. Device Security

The App uses Apple's App Attest to verify the authenticity of your device when communicating with our servers. This helps prevent fraud, unauthorized access, and abuse of our cloud services.

You may optionally enable biometric authentication (Face ID or Touch ID) to lock access to the App. Biometric data is processed entirely by Apple's Secure Enclave on your device — we never receive, store, or have access to your biometric data.

13. Feedback

Any feedback, suggestions, ideas, or bug reports you voluntarily submit through the App or via email may be used by us to improve the service without obligation or compensation to you. By submitting feedback, you grant PersonaLLM a worldwide, non-exclusive, royalty-free, perpetual licence to use, modify, and incorporate that feedback into our products and services.

14. Disclaimers

The App is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the App will be uninterrupted, error-free, or secure, or that AI-generated content will be accurate, appropriate, or free from bias.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under the laws of England and Wales.

15. Limitation of Liability

Subject to Section 14, to the maximum extent permitted by law, PersonaLLM shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App, including but not limited to loss of data, loss of profits, or emotional distress.

Our total aggregate liability for any claims arising under or in connection with these Terms shall not exceed the greater of (a) the amount you paid to PersonaLLM in the 12 months preceding the claim, or (b) one hundred pounds sterling (£100).

These limitations apply to the fullest extent permitted by applicable law, including the UK Consumer Rights Act 2015.

16. Indemnification

You agree to indemnify and hold harmless PersonaLLM and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your use of the App, (b) your violation of these Terms, (c) your violation of any applicable law, (d) your infringement of any third party's rights, or (e) content generated using on-device models or custom API providers configured by you.

17. Termination & Account Deletion

We may suspend or terminate your access to PersonaLLM at any time for violation of these Terms or for any other reason at our reasonable discretion. Upon termination:

• Your locally stored data remains on your device under your control
• Your community uploads may be removed at our discretion
• Any active subscription will not be automatically cancelled — you must cancel through Settings → Subscriptions or the App Store to stop future charges
• Any unused credits are forfeited unless a refund is required by applicable law
• Your right to use the App ceases immediately

Account Deletion. You may delete your account and all associated data at any time through the App's settings. This will permanently delete all local data on your device and request deletion of your data from our servers, including community uploads and your credit balance. This action cannot be undone.

Data Export. You may export all of your locally stored data at any time through the App's settings. Exported data includes your characters, conversations, generated media, and settings in a portable format.

Sections 4, 7, 9 (payment obligations), 14, 15, 16, and 18 of these Terms survive termination.

18. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer resident in another part of the United Kingdom (Scotland or Northern Ireland), you may also bring proceedings in the courts of your country of residence.
